Terms and Conditions of Use

1. General
1.1. Binding Agreement
These Terms & Conditions ("Agreement") govern your access to and use of the services, platform, protocols, smart contracts, interfaces, and other functionalities made available by Hadinet Africa, LLC, a Wyoming Limited Liability Company ("Hadinet Africa," "we," "us," or "our").
1.2. Acceptance
By accessing, viewing, downloading, executing, contributing to, or otherwise engaging with the Hadinet Africa platform ("Platform"), you ("User" or "you") irrevocably accept and agree to be bound by this Agreement. If you do not agree, you must immediately cease use.
2. Definitions
- "Smart Contract" means any on-chain or off-chain code that facilitates the governance, execution, or management of Hadinet Africa services, including identity verification and document storage operations.
- "Platform" means the Hadinet Africa website, zkIdentity verification system, Document Vault, and all related services and interfaces.
- "User Data" means any personal information, identity documents, or files submitted to or processed by the Platform.
3. Business Form and Legal Compliance
3.1. Formation & Continuity
Hadinet Africa, LLC is a Wyoming Limited Liability Company formed by filing Articles of Organization with the Secretary of State. Hadinet Africa shall maintain a registered agent in Wyoming at all times.
3.2. Privacy & Corporate Transparency
Hadinet Africa shall comply with the Corporate Transparency Act and federal laws governing financial privacy and data security.
4. Platform Services
4.1. zkIdentity
Hadinet Africa provides privacy-preserving identity verification through zero-knowledge proofs. Users may submit identity data for verification; raw identity documents are not retained after proof generation. Verification attestations may be recorded on-chain and are subject to blockchain immutability.
4.2. Document Vault
Hadinet Africa provides end-to-end encrypted document storage. Users retain full ownership of all uploaded documents. We do not access, read, or analyze encrypted documents. Users are responsible for maintaining their encryption keys; loss of keys may result in permanent loss of access.
4.3. Service Availability
Hadinet Africa endeavors to maintain continuous Platform availability but does not guarantee uninterrupted access. Scheduled maintenance, upgrades, or unforeseen circumstances may result in temporary service disruptions.
5. User Obligations
5.1. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose;
- Attempt to gain unauthorized access to our systems;
- Upload malicious content or documents;
- Interfere with or disrupt the Platform's operation;
- Impersonate another person or entity;
- Use the Platform to facilitate fraud or identity theft.
5.2. Account Security
You are responsible for maintaining the security of your account credentials and encryption keys. You must notify us immediately of any unauthorized access to your account.
5.3. Accuracy of Information
You must provide accurate and complete information when creating an account or submitting data for identity verification.
6. Liability & Indemnification
6.1. No Personal Liability
No member or officer of Hadinet Africa, LLC shall be personally liable for debts, obligations, or liabilities of the company beyond their capital contributions, as permitted by Wyoming LLC statutes.
6.2. Indemnification
Hadinet Africa shall indemnify and hold harmless any member or agent against claims incurred in furtherance of the company, provided they acted in good faith and with no gross negligence or willful misconduct.
6.3. Smart Contract Risk
Users acknowledge the inherent risk in smart contracts, including software vulnerabilities, bugs, or blockchain consensus failures. Hadinet Africa disclaims liability except to the extent required by law.
7. Intellectual Property
7.1. Trademarks and Copyrights
Hadinet Africa retains all intellectual property rights in Platform code, branding, designs, documentation, and materials. Usage by users is licensed, non-exclusive, non-transferable, and revocable.
7.2. User Content
You retain full ownership of all documents and data you upload to the Platform. By using the Platform, you grant Hadinet Africa only the limited technical permissions necessary to provide the services (e.g., encrypted storage and transmission).
8. Termination
8.1. By User
You may terminate your account at any time by contacting us. Upon termination, your encrypted data will be deleted in accordance with our data retention policy.
8.2. By Hadinet Africa
We reserve the right to suspend or terminate access to the Platform for violation of these Terms, illegal activity, or any conduct that endangers the security or integrity of the Platform.
9. Governing Law and Dispute Resolution
9.1. Governing Law
This Agreement and all disputes are governed exclusively by Wyoming law, without reference to conflict-of-law principles.
9.2. Venue
Any legal actions shall be filed in relevant state or federal courts within Wyoming's jurisdiction.
10. Representations, Disclaimers, and Warranties
10.1. Disclaimer of Warranties
THE PLATFORM AND SMART CONTRACTS ARE PROVIDED "AS IS" AND "WITH ALL FAULTS," WITHOUT ANY WARRANTY WHATSOEVER, EXPRESS OR IMPLIED.
10.2. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HADINET AFRICA SHALL NOT BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.
11. Miscellaneous
11.1. Entire Agreement
This Agreement, together with the Privacy Policy and any additional service-specific terms, constitutes the entire agreement and supersedes any prior communications.
11.2. Severability
If any provision is deemed unenforceable, the remainder shall remain in full force and effect.
11.3. Amendments
Hadinet Africa may update these Terms from time to time. Revised versions are effective upon posting, and your continued use of the Platform constitutes acceptance of the modified terms.
